Ok, the main difference is that Will indicates the future. (normally used to make promises, instant decisions and predictions based on personal opinions)

I will go with you tomorrow.
I'll visit her on Sunday.
I don't think she will pass.

The other indicates a condition. Certain circumstamces must occur for this to happen.

I would go if she went. (If she goes, I go.)
