Both are participles, and therefore, by definition, nonfinite verb forms, so there is no significant difference in terms either of form-class or of form sub-class. The first participle, however, is used disjunctively, i.e. it introduces a phrase serving an essentially adverbial function, while the second is adjunctive, i.e. it serves a purely adjectival function, identifying the man to whom the speaker is referring.
