Is the 2nd sentence correct? If it's correct, why the 1st one has
to use a "with" ? Any difference in meaning between them?

I would say “over with” is more definitive than “over”.

That’s over. (= It’s finished.)
That’s over with. (= It’s completely finished.)

'With' seems to intensify it, so I'd use it for worse situations. :D
