Hi,

could you please explain the meaning of "counted against" in the following text:

Any purchases made by the subsidiaries will be included and counted against any volume based rebates or discounts according to this contract.

Does it mean that the discounts and rebates also apply to the purchases made by the subsidiaries? That the purchases of the subsidiaries shall be included in the volume based on which the discounts are calculated?

Yes, It means that you have to take any purchases made by the subsidiaries into account of total price of any volume including rebates and discounts!
