    Without context for the words, to upgrade something means to take it up one level [You can be upgraded from business class to first class on an aeroplane; A computer can be upgraded with new technology or new programs].

    To improve something means to make it better than before by making changes to it.

    An upgrade can be an improvement; an improvement is not necessarily an upgrade.
