Looking down at her notebook, she read, ".... And, whereas, the parties hereto desire, once and for all, to settle and adjust the affairs of the said co-partnership and each to release the other from any and all claims of any sort, nature, or description which he may have arising from any cause whatsoever... "... please explain in simple English".
Many of us who are native speakers have asked exactly this when we've been confronted with a legal document written in this type of English, often called "legalese". It can be difficult to understand and I'm no expert, but here's what I think.

"Considering the fact that the people involved in this matter want to finally settle the business of the partnership being discussed, and that they agree to release each other from any demands, responsibilities or commitments of any sort, no matter how they arise ... etc". We don't know what then follows.
