Neither sentence is correct. The name of the company is Mercedes-Benz. The position of "each year" makes no difference. In the second, "ar" should be "are".

If I want to change this sentence into passive where would be the correct position of the adverb phrase each year ?
1. "Millions of cars are sold by mercedes each year." OR
2. "Millions of cars ar sold each year by Mercedes." ?
I would say that the first version is the correct one. Am I right?

The active strikes me as a more natural sentence- is there any real reason for this being in the passive?
Daily Star: MERCEDES have sold more than one million C-Class motors since the latest model went on sale here in March 2007.
Daily Mirror: Mercedes have sold 128,000 Sprinters in Britain during the past decade.
The Courrier: Apparently Mercedes have sold 100 of them in the last month
