IS IT WORTH OR WORTHY IN THIS SENTENCE?

Is it "That is not worth remembering" or "That is not worthy of being remembered"? They are both correct.
Is there any other alternative? Also, it would be nice if someone could give me a proper explanation about the use of these two.

    Thanks in advance.

They are both grammatical, but the first one is more common and my preference.
I'm not a teacher, but I write for a living. Please don't ask me about 2nd conditionals, but I'm a safe bet for what reads well in (American) English.

That is not worth committing to memory.

And could you not write thread titles in upper case- it makes things more difficult to read. Thanks.
