    1) You should be paying us rather that we paying you.

    2) John should be paying Carter instead of Carter paying Tom.

    Please check my sentences.

    It's rather than. I'd say rather than us paying you, but I don't know whether that would gain critical readers' approval. You can avoid the issue by saying our paying you.

    The second sentence is grammatically OK. It just doesn't make sense.
