    create a liability against sb.

    Hi,

    could you please tell me what "create a liability against sb." means in the following sentence:

    The distributor is not authorized to bind the Supplier or create a liability against the Supplier in any way or for any purpose.

    As I understand it, it would mean that some third person will be liable towards the Supplier, which makes no sense to me. I think that the sentence says that the Distributor should not make the supplier responsible towards third persons; but then I donīt understand the use of the preposition "against"

    The distributor is not authorized to bind the Supplier or create a liability against the Supplier in any way or for any purpose.



    To me it means the distributor is not authorized to impose any pecuniary obligations on the supplier, like compensation for a loss caused by delayed shipping

    Thanks a lot! I just thought that as it is a "liability against the supplier", then this "against" means that someone else should e.g. pay to the supplier (which didnīt make sense to me). This "against" probably means "to the detriment of the supplier", doesnīt it?

    (Physically, the 'against' refers to the entry in an account: this person has an entry in the Liabilities column against his name. But in terms of the effective meaning, you're right.)
