    Wording in a consititution

    Dear teachers,
    Could you tell me what the meaning of the following sentence is(particularly, the with-clause underlined)?
    Executive comittee members' term of office
    "The term of office of all Exco members shall be for two years with half of the membership overlapping from the close of one AGM to the next inclusive subject only to the restriction that Ordinary Members shall not serve for more than four terms."

    And are there any grammatical mistakes in the following sentences:
    (i) The Exco is reponsible for putting forward suggestions and advices to the General Assembly.
    (ii) The Secretary is reponsible for handling all internal and external correspondences.

Half of the committee are elected/co-opted each year. Say there are 8 members in total, each of whom is elected for two years. Each year at the AGM four will resign and four others will be elected. The new members will serve one year with the other four members. These old members will resign at the following year's AGM and be replaced then.

    And are there any grammatical mistakes in the following sentences:
