    Do you mean all the words in the same sequence or each word seperately? If it's the former more context is needed to make any sense of it.

    Any vacancy occurring in the Board of Directors may be filled by the affirmative vote of a majority of the remaining directors. Provided, however, that in the case of the Chair of the Association, such vacancy shall be filled in the manner prescribed for a vacancy in such office in these bylaws. A Director elected to fill a vacancy shall be elected to his or her own term and shall take office immediately upon his/her election.

    It means that if the vacancy on the board of directors is that of the chairman/woman, it (the vacancy) must be filled following the relevant rule in the bylaws of the association, and not by a majority vote by the other board members.
