She need not say how obliging she feels.

She does not need to say how obliging she feels.

Is there a difference in meaning between the sentences? Thanks.

Neither means much to me. I cannot think of any situation in which anybody might need to say how obliging they feel.

Thanks, 5jj.

If I changed the word to 'obligated', does it make sense? And, if so, do the sentences have the same meaning?

That makes more sense. There is no real difference in meaning between the two sentences.
