They say that he is rich.
->It is said that he is rich.
->He is said to be rich.

What's the difference between the first & the second passive sentence.

As you said, they are both sentences in a passive structure. Sometimes people use a passive to report what they say or think, particularly if they don't want to mention the agent or the souce. I would use a passive form when gossiping things. 8)


Both are quite similar in meaning.
