Can the sentence "She asked me to sit down" have 2 different meanings, i.e. both she asked my permission because she wanted to sit down and she wanted me to sit down?

No. It means she requested that you sit down.

In the other case, I guess the sentence would have to be something like "She asked me if she could sit down"...
