Use the second.
Because the first starts with "I will appreciate it", you need to follow it with "if you help me".

In my humble opinion neither is of much use, but the second one is, I think, a little better.

Saying you would be grateful for my opinion seems to be offering your gratitude as a form of payment. (Two things. One, if you weren't hoping to get an answer you would not have asked the question. Two, others may disagree with me.)

Use this one, and forget about the other. "Would" (not "will") is used for politeness in such standard expressions.
