"of" vs "out of"

Hi there can someone please tell me the difference between "of" and "out of" in the following sentencess?

Here are the examples:

  • 1- Only two of all the students have passed the exam.

    2- Only two out of all the students have passed the exam.
 
There's no difference. I find sentence 2 more natural but I suspect BrE speakers may prefer number 1.
 
Are you asking about a difference in meaning? Obviously, there is no difference in meaning.

I suggest you use 2-, not 1-.

Not so. #2 is just fine by us.

Also good is

'Only two of the students have passed the exam' (without 'all').
