Welcome to the forum, Johnny.
Is it "That is not worth remembering" or "That is not worthy of being remembered"? They are both correct.
Is there any other alternative? Also, it would be nice if someone could give me a proper explanation about the use of these two.

Thanks in advance.
Start every sentence with a capital letter. 'Thanx' is not acceptable in this forum: we insist on the use of standard English.
