"With" vs "having"

What is the difference between with and having in the following sentences? Are they both correct?


1- India is the second most populous country having a population of over 1 billion people.

2- India is the second most populous country with a population of over 1 billion people.
 
They mean the same.

I'd say a comma after 'country' is mandatory in both.

Thank you. For the first sentence, can I write sentence in the following way?

- India, having a population of over 1 billion is the second most populous country.
 
For the first sentence, can I write the sentence [STRIKE]in the following way[/STRIKE] like this?

- India, having a population of over [STRIKE]1[/STRIKE] one billion, is the second most populous country.
You need a second comma to end the parenthetical clause.
